Terms of Service

By accessing or using the Chamzo website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must not access or use our services. These terms apply to all visitors, users, and others who access or use our services.

Chamzo provides web development, mobile application development, UI/UX design, cloud solutions, API development, and technology consulting services. Our services are provided on a project basis as agreed upon in individual contracts, statements of work, or service agreements between Chamzo and the client.

We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of our services.

As a client of Chamzo, you agree to:

• Provide accurate and complete information necessary for the delivery of services • Respond to requests for feedback, approvals, and materials in a timely manner • Ensure that any content, materials, or data you provide do not infringe on third-party rights • Maintain the confidentiality of any account credentials provided to you • Comply with all applicable laws and regulations in connection with your use of our services • Make payments according to the agreed-upon schedule and terms

Our Property

The Chamzo website, including its design, logos, text, graphics, and software, is the property of Chamzo and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on our website without our express written consent.

Client Work Product

Upon full payment for services rendered, the client shall own all rights, title, and interest in the final deliverables as specified in the project agreement. Chamzo retains the right to use general knowledge, skills, and experience gained during the project, as well as the right to showcase the work in our portfolio unless otherwise agreed in writing.

Pre-Existing Materials

Any pre-existing intellectual property, frameworks, libraries, or tools used by Chamzo in the delivery of services remain the property of Chamzo or their respective owners. The client is granted a non-exclusive, perpetual license to use such materials as part of the delivered project.

Payment terms, including pricing, milestones, and schedules, are outlined in individual project agreements. Unless otherwise specified:

• A deposit of 30-50% is required before work begins • Progress payments are due upon completion of agreed milestones • Final payment is due upon project delivery and acceptance • Invoices are payable within 14 days of issuance • Late payments may incur interest at a rate of 1.5% per month • We reserve the right to suspend work on projects with outstanding balances

Project timelines are estimates provided in good faith based on the agreed scope of work. While we strive to meet all deadlines, Chamzo shall not be liable for delays caused by client-side delays in providing feedback, approvals, or materials; changes in project scope; force majeure events; or third-party dependencies beyond our control.

Significant changes to project scope or requirements may result in adjusted timelines and additional costs, which will be communicated and agreed upon before implementation.

Chamzo warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. We provide a 30-day warranty period after project delivery during which we will fix any defects or bugs in our deliverables at no additional cost.

EXCEPT AS EXPRESSLY STATED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAMZO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

Our total liability for any claim arising under these terms shall not exceed the total amount paid by you to Chamzo for the specific services giving rise to the claim during the twelve (12) months preceding the claim.

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the engagement. This includes but is not limited to business plans, technical specifications, financial information, and trade secrets. This obligation survives the termination of any agreement between the parties for a period of two (2) years.

Either party may terminate a project agreement with 30 days written notice. In the event of termination:

• The client shall pay for all work completed up to the date of termination • Chamzo will deliver all completed work and materials to the client • Any deposits for uncompleted work will be refunded on a pro-rata basis • Termination does not affect any rights or obligations that accrued prior to termination

Chamzo reserves the right to terminate services immediately if the client breaches these terms, fails to make timely payments, or engages in illegal or unethical activities.

You agree to indemnify, defend, and hold harmless Chamzo, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our services, your violation of these terms, or your infringement of any third-party rights.

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under these terms shall be resolved in the state or federal courts located in San Francisco County, California.

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after changes are posted constitutes your acceptance of the modified terms. We encourage you to review these terms periodically.
